Before exchange a buyer can walk away at any time and owes you nothing. After exchange the contract is binding and they risk their deposit. Roughly a quarter of UK sales fall through and almost all of those happen before exchange, so knowing the difference decides what you do next.

The short answer

  • Before exchange nobody is legally committed in England and Wales
  • After exchange the buyer normally forfeits a deposit of five to ten per cent

First hour: what to do immediately

The order matters because your own purchase is now at risk and the people above you need to know before they hear it elsewhere.

  • Ask the agent in writing why the buyer withdrew
  • Call your solicitor and pause any completion arrangements
  • Tell the seller you are buying from and ask for time
  • Contact your removal company to postpone rather than cancel
  • Speak to your mortgage lender about the offer expiry date
  • Pause the mail redirection and any utility switch dates

Your legal position

In England and Wales nothing binds either party until contracts are exchanged. A buyer who pulls out the day before exchange owes you nothing even if you have spent thousands.

After exchange the position reverses completely. The buyer is contractually obliged to complete, you can serve a notice to complete giving them a set period and if they still fail you can keep the deposit and claim further losses.

Scotland works differently. Once missives are concluded the deal is binding much earlier which is one reason Scottish fall through rates are lower.

Costs you may be able to recover

Before exchange nothing is recoverable. After exchange your solicitor can pursue wasted costs alongside the deposit including legal fees, removal cancellation charges, storage, temporary accommodation and in some cases the price difference on a forced resale.

Keeping your own purchase alive

Be straight with your seller quickly. Most sellers will give a few weeks if they can see a plan and hear from you rather than from the agents.

  • Ask the agent to approach the underbidders that week
  • Consider a small price adjustment for a proceedable buyer
  • Ask about bridging finance only if the gap is short and defined
  • Look at renting out or renting back as a temporary route
  • Check whether your mortgage offer can be extended

Your removal booking

Ring us as soon as you know. Most removal companies including ours will move a deposit to a new date rather than treat it as a cancellation, and if your goods are already loaded we can put them into containerised storage and deliver when the new date lands. Waiting until the morning of the move is what turns a postponement into a charge.

Reducing the risk next time

You cannot remove the risk in the English system but you can cut it. Ask the agent to qualify buyers properly, favour a chain free or already sold buyer over a slightly higher offer, push for a short exchange timetable and keep your own paperwork ready so you are never the slow part of the chain.
